Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WhiteGloveMD platform, website, and clinical review services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

By accessing or using WhiteGloveMD's platform, website, mobile applications, or clinical review services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are using our Services on behalf of another person (such as a family member), you represent that you have the authority to bind that person to these Terms.

We reserve the right to update these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

2. Description of Services

WhiteGloveMD provides AI-augmented clinical decision support services for cardiac surgery and cardiology. Our Services include, but are not limited to:

- Independent second opinion reviews by dual-physician Heart Teams - AI-powered clinical analysis via our proprietary Clintelligence™ engine - White Glove Insights™ Report generation with triple risk scoring - Video consultations with fellowship-trained physicians - Concierge cardiology subscriptions - Surgeon and facility matching based on publicly reported outcomes data

3. Not a Substitute for Emergency Care

WhiteGloveMD is not an emergency medical service. If you are experiencing a medical emergency, call 911 or go to your nearest emergency room immediately.

Our Services are designed for elective clinical decision support and are not intended to replace the judgment of your treating physicians. All recommendations provided through WhiteGloveMD are educational and informational in nature and should be discussed with your personal healthcare team before making treatment decisions.

4. User Accounts and Registration

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent purposes.

5. Medical Records and Privacy

By submitting medical records through our platform, you authorize WhiteGloveMD and its clinical team to access, review, and analyze those records for the purpose of providing our Services.

All medical records are handled in accordance with HIPAA regulations and our Privacy Policy. We maintain Business Associate Agreements (BAAs) with all data processors and subprocessors who may access protected health information.

You represent that you have the legal authority to share any medical records you submit, and that sharing those records does not violate any applicable laws or agreements.

6. Payment Terms

Fees for our Services are listed on our pricing page and are subject to change. All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees.

Refund requests are evaluated on a case-by-case basis. If a review has not yet been initiated, a full refund will be provided. Once clinical review has commenced, partial refunds may be available at our discretion.

For subscription services (Concierge Cardiology), billing occurs monthly. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period.

7. Intellectual Property

All content, technology, and materials on the WhiteGloveMD platform — including but not limited to the Clintelligence™ engine, White Glove Insights™ Report format, Sentinel provider intelligence system, website content, graphics, and software — are the property of WhiteGloveMD and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of our software.

8. Limitation of Liability

To the maximum extent permitted by law, WhiteGloveMD and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid to WhiteGloveMD for the Services giving rise to the claim.

WhiteGloveMD does not guarantee any specific clinical outcome. Our Services provide independent analysis and recommendations, but all treatment decisions remain between you and your treating physicians.

9. Indemnification

You agree to indemnify, defend, and hold harmless WhiteGloveMD, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another party.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Las Vegas, Nevada.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

11. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
